Sourcing City Supplier Platform Terms & Conditions

These Supplier Platform Terms & Conditions (“Terms”) govern the use of the Sourcing City platform and associated services by suppliers (“Supplier”, “you”, “your”).
By accessing or using the Sourcing City platform, you agree to these Terms.
1. About Sourcing City
Sourcing City is a B2B promotional merchandise platform operated by Dynamic Image Ltd trading as Sourcing City (“Sourcing City”, “we”, “us”, “our”).
The platform connects suppliers and distributors within the promotional merchandise industry and provides associated technology, data, marketing, media, reporting, and event-related services.
2. Platform Services
Sourcing City may provide suppliers with access to services including, but not limited to:
- Supplier’s own product listings
- Distributor enquiry generation
- Dynamic Highway integrations
- Live pricing and stock visibility
- Reporting and analytics
- Advertising and promotional services
- Website integrations
- Marketplace and sourcing functionality
- Event participation and exposure opportunities
Services may evolve or change over time.
3. Supplier Responsibilities
Suppliers agree to:
- provide accurate and up-to-date product and company information,
- maintain appropriate rights to all uploaded content and imagery,
- ensure pricing and stock information is maintained where integrations
- exist,
- comply with all applicable laws and regulations,
- maintain appropriate product compliance and safety obligations,
- act professionally and in good faith toward distributors and platform users.
Suppliers remain solely responsible for:
- product accuracy,
- pricing,
- stock availability,
- fulfilment,
- legal compliance,
- customer service,
- and contractual arrangements entered into with distributors.
4. Distributor Enquiries & Data Usage
Where distributors submit enquiries relating to supplier products or services, Sourcing City may share relevant distributor information with the applicable supplier.
This may include:
- company name,
- contact name,
- email address,
- telephone number,
- enquiry details,
- product interest information,
- and related engagement activity.
Suppliers agree that:
- such information will only be used for legitimate business purposes connected to the enquiry,
- personal data will be processed in accordance with applicable UK data protection legislation,
- distributor information will not be sold, transferred, or misused,
- reasonable security and confidentiality measures will be maintained.
Suppliers must not use distributor data for unlawful spam or unrelated marketing activity.
5. Data Protection
Each party acts as an independent data controller in relation to personal data processed through the platform.
Each party agrees to comply with applicable UK GDPR and data protection legislation.
Suppliers are responsible for their own internal data handling, retention, security, and compliance obligations.
6. Intellectual Property
Suppliers retain ownership of their own trademarks, logos, product data, and content.
Suppliers grant Sourcing City a non-exclusive licence to:
- display,
- reproduce,
- distribute,
- promote,
- and use supplier content within the operation and marketing of the platform and associated services.
Suppliers confirm they hold appropriate rights to all uploaded materials.
7. Reporting & Analytics
Sourcing City may provide suppliers with reporting, analytics, engagement metrics, enquiry activity, and related commercial insights connected to their products and platform activity.
Such reporting is provided for business intelligence purposes only.
Sourcing City does not guarantee enquiry volumes, sales outcomes, or commercial performance.
8. Availability of Service
Sourcing City will use reasonable efforts to maintain platform availability but does not guarantee uninterrupted access.
The platform and services may occasionally be modified, suspended, updated, or unavailable for maintenance or operational reasons.
9. Limitation of Liability
To the maximum extent permitted by law, Sourcing City shall not be liable for:
- indirect or consequential losses,
- loss of profits,
- loss of business opportunity,
- loss of data,
- platform downtime,
- or disputes between suppliers and distributors.
Total liability relating to platform services shall not exceed the fees paid by the supplier to Sourcing City during the preceding 12 months.
Nothing within these Terms excludes liability where exclusion is unlawful.
10. Suspension & Termination
Sourcing City reserves the right to suspend or terminate supplier access where:
- these Terms are breached,
- unlawful activity occurs,
- platform integrity is compromised,
- supplier behaviour risks reputational damage,
- payment obligations are not met.
Suppliers may terminate participation subject to any applicable commercial notice periods or agreed advertising commitments.
11. Changes to Terms
Sourcing City may update these Terms periodically.
Continued use of the platform following updates constitutes acceptance of the revised Terms.
12. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
